1. Party 契約当事者
a person, company, etc, entering into a legal contract.
The Agreement also applies to any identical taxes which are imposed after the date of the Agreement by either Contracting Party.
2. Agreement 契約(=Contract)
An agreement is a formal decision about future action which is made by two or more countries, groups, or people.
It looks as though a compromise agreement has now been reached.
3. Terms 契約条件(Terms and conditionsともいう)

4. Clause 条項(発音はクローズ)
A clause is a section of a legal document.
He has a clause in his contract which entitles him to a percentage of the profits.
5. Offer 提案
An offer is something that someone says they will give you or do for you.
He had refused several excellent job offers.
6. Acceptance 受諾
Acceptance of an offer or a proposal is the act of saying yes to it or agreeing to it.
The Party is being degraded by its acceptance of secret donations.
7. binding 拘束力のある
A binding promise, agreement, or decision must be obeyed or carried out.
…proposals for a legally binding commitment to reduce carbon emissions.
8. Attorney 弁護士
In the United States, an attorney or attorney at law is a lawyer.
…a prosecuting attorney.
9. Appendix 付属資料
An appendix to a book is extra information that is placed after the end of the main text.
10. Fine print ファインプリント(契約書に小さい文字で記載されている重要な補足事項)
In a contract or agreement, the fine print is the same as the small print.
11. Bargaining power 交渉力
the ability of a person, group, or organization to exert influence over another party in a negotiation in order to achieve a deal which is favourable to themselves

13. Bona fide 善意の

14. Terminate 契約の解除
When you terminate something or when it terminates, it ends completely.

15. Comply 遵守する
If someone or something complies with an order or set of rules, they are in accordance with what is required or expected.
The commander said that the army would comply with the ceasefire.
16. Lawsuit 訴訟(発音はロースート)
A lawsuit is a case in a court of law which concerns a dispute between two people or organizations.[formal]
The dispute culminated last week in a lawsuit against the government.
17. Dispute 紛争、論争
A dispute is an argument or disagreement between people or groups.
They have won previous pay disputes with the government.
18. Null and void 無効である
If an agreement, a declaration, or the result of an election is null and void, it is not legally valid.
A spokeswoman said the agreement had been declared null and void.
19. Valid 有効である
If a ticket or other document is valid, it can be used and will be accepted by people in authority.
For foreign holidays you will need a valid passport.
20. Exclusive 独占的な
Something that is exclusive is used or owned by only one person or group, and not shared with anyone else.
Many of their cheeses are exclusive to our stores in Britain.
21. Force majeure 不可抗力
Force majeure is an unexpected event so serious that people are no longer required to fulfil their part of a contract.
22. Liability 契約における責任、義務
anything for which a person is liable.
23. Bilateral 二者間の
Bilateral negotiations, meetings, or agreements involve only the two groups or countries that are directly concerned.
24. Unilateral 一方のみの
A unilateral decision or action is taken by only one of the groups, organizations, or countries that are involved in a particular situation, without the agreement of the others.
…unilateral nuclear disarmament.
25. Jurisdiction 法的管轄
Jurisdiction is the power that a court of law or an official has to carry out legal judgments or to enforce laws.[formal]
The British police have no jurisdiction over foreign bank accounts.
